These Terms of Service (“Terms”) govern your use of ChiroSmarts.com (the “Service”), operated by Talisman Health Enterprise Management, LLC (“ChiroSmarts,” “we,” “us”). By creating an account or purchasing a course, you agree to these Terms.
1. The Service
ChiroSmarts provides online continuing education and certification training, primarily for chiropractic assistants and chiropractic physicians, including video courses, examinations, downloadable resources, an AI study assistant, and completion certificates. Course offerings, prices, and credit hours are described on each course’s page.
2. Eligibility and Accounts
You must be at least 18 years old to use the Service. You agree to provide accurate information, including your full legal name, which appears on certificates and is reported as your record of completion. Certificates issued to an inaccurate name may be invalid for licensure purposes; correcting and reissuing a certificate due to inaccurate information you provided may incur an administrative fee.
Login is by single-use email link. You are responsible for maintaining control of your email account and for all activity under your ChiroSmarts account. Accounts are personal and may not be shared. You may be signed in on multiple devices, but course video may only accrue completion time on one device at a time.
3. Courses, Completion Requirements, and Certificates
Continuing-education courses have completion requirements that may include: viewing course content (with viewing time recorded electronically), completing knowledge checks, and passing a final examination at the passing threshold stated for the course. Certificates of completion are issued only when all requirements for a course are met.
You agree not to circumvent, automate, or falsify completion tracking, examinations, or any other requirement. We record course activity — including video playback events, playback speed, quiz attempts, and certificate issuance — as a permanent audit record (see the Privacy Policy). Certificates obtained through fraud, misrepresentation, or circumvention of completion requirements may be revoked, and we may notify affected regulatory bodies where required.
Each certificate carries a verification code; anyone holding the code may confirm the certificate’s validity through our public verification page.
4. Regulatory Disclaimer
ChiroSmarts provides educational content. We are not a licensing body. Your certification, registration, or licensure — and the acceptance of any course for credit — is determined solely by the applicable regulatory board (for example, the Oregon Board of Chiropractic Examiners) under its rules in effect at the time. Where we state that a course is approved by or designed to meet the requirements of a specific board or agency, that statement applies only to the course, jurisdiction, and approval period identified. You are responsible for confirming that a course meets your own licensure requirements. Course content is educational and does not constitute medical, clinical, or legal advice, and does not replace professional judgment or your clinic’s policies.
5. Purchases, Pricing, and Refunds
Prices are listed on each course page and charged at checkout via our payment processor (Stripe). We do not store your full payment card details. Prices may change; the price you pay is the price displayed at your time of purchase.
Refunds: You may request a refund within 14 days of purchase, provided you have not passed the course’s final examination and no certificate has been issued for the course. Refund requests go to contact@chirosmarts.com. Once a certificate has been issued, the purchase is non-refundable. Clinic-purchased seats (Section 6) are refundable only to the purchasing clinic and only for seats not yet claimed; enrollments granted through a claimed seat are non-refundable.
6. Clinic Accounts
A clinic account allows a clinic owner or administrator (“Clinic Admin”) to purchase course seats and assign them to staff. By claiming a clinic-assigned seat, you receive an enrollment paid for by the clinic. Clinic Admins can view the training status of staff they sponsor — including enrollment status, completion progress, and certificates for clinic-assigned courses — as described in the Privacy Policy.
Enrollments and certificates belong to the individual learner. If a learner leaves the clinic, their enrollments, course records, and certificates remain theirs; the clinic’s seat is not returned. Clinic Admins agree to assign seats only to bona fide staff members and to obtain any consent required from staff before sponsoring their training.
7. AI Study Assistant
Some courses include an AI study assistant that answers questions using the enrolled course’s content. It is a study aid: its responses may contain errors, are not reviewed before delivery, do not constitute clinical, legal, or licensing advice, and are not a substitute for the course content itself. Completion requirements are never satisfied through the assistant. Do not enter patient information or other sensitive personal information into the assistant.
8. Intellectual Property and Acceptable Use
All course content — video, audio, text, examinations, downloadable resources, and the assistant’s outputs — is owned by or licensed to ChiroSmarts. Your purchase grants you a personal, non-transferable license to access the content for your own education. You may not record, download (except resources we provide for download), reproduce, share, resell, or publicly display course content, or use it to develop competing materials. You may not attempt to probe, disrupt, or gain unauthorized access to the Service, scrape it, or use it to violate any law.
We may suspend or terminate accounts that violate these Terms. Termination for violation does not entitle you to a refund. Your issued certificates remain verifiable except where revoked under Section 3.
9. Availability, Changes, and Records
We aim to keep the Service available but do not guarantee uninterrupted access. We may modify, add, or retire courses and features. If we retire a course you purchased before you complete it, we will provide a reasonable completion window or a refund. Your compliance records — course activity, examination results, and certificates — are retained as described in the Privacy Policy and remain accessible to you through your account, including after a course is retired.
10. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT ANY COURSE WILL BE ACCEPTED FOR CREDIT BY ANY REGULATORY BODY EXCEPT AS EXPRESSLY STATED ON THE COURSE PAGE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, AND WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST WAGES, LOST LICENSURE OPPORTUNITIES, OR LOST PROFITS. Some jurisdictions do not allow certain limitations; in those jurisdictions, these limitations apply to the fullest extent permitted.
11. General
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-law rules; venue for disputes lies in the state or federal courts located in Benton County, Oregon. We may update these Terms; material changes will be posted with a new effective date, and continued use after the effective date constitutes acceptance. If any provision is unenforceable, the remainder stays in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and ChiroSmarts regarding the Service.
